As Principal Commercial Counsel, you will be a key legal partner for Business Officers (commercial legal team) and account teams in client contracting by providing consistent and pragmatic legal advice aligned to company strategy.
What You'll Do at Pega:
- Translate client commercial contracting issues into clear, business-relevant guidance to support informed decisions, including updating negotiating playbooks and other assets to harmonize positions, maintain team awareness of ongoing best practices developments and educate the field for continuous improvement and efficiency, minimize escalations, and accelerate/standardize contracting processes.
- Serve as a central point of contact for resolving questions concerning non-standard legal terms with the goal of driving commercial deals to closure in a prompt and practical manner.
- Apply seasoned situational business judgment to defined commercial risk positions (e.g., liability allocation, IP rights, regulatory commitments) and exercise independent judgment to approve or reject non‑standard terms within established authority levels.
- Monitor and assess emerging legal and regulatory developments to proactively address hurdles and roadblocks in client contracting. Drive currency of positions, templates, and playbooks as products and regulations evolve.
Who You Are:
You’re a proactive, collaborative legal professional who thrives in a fast-paced environment. You’re passionate about continuous learning, building strong relationships, and contributing to a high-performing team.
What You've Accomplished:
- Juris Doctorate and admission to practice in at least one U.S. jurisdiction
- Minimum of 10+ years’ legal experience, preferably practicing in both a law firm and in-house setting.
- Significant experience drafting, negotiating and/or advising on complex commercial contracts, including enterprise cloud software licenses and related agreements, such as DPAs and security exhibits.
- Demonstrated ability to assess, balance, and clearly articulate commercial and legal risk to senior business leaders, including recommending and owning risk‑based positions.

Additional Information
Base salary range for this role is 178,900 - 272,600 USD annually. This role may also be eligible for annual bonus OR commission, as well as benefits and other incentives.
The final compensation will be determined during the offer process based on the candidate's education, experience, skills, and qualifications, as well as market conditions and may vary from the posted range. We will share an information on benefits, bonus/commission, and other pay components for this role at the relevant recruitment stage.
