Governance:
One of the objectives of Pegasystems is to build a fast-growing,
profitable enterprise that rewards our employees, shareholders,
and partners. Achievement of this objective requires us to earn
the trust of our many stakeholders: employees, customers, partners,
suppliers, shareholders, government officials, and the general
public.
An enterprise or individual earns trust by daily actions. At Pegasystems,
the tone for our actions starts with the environment set by the
Board of Directors and the Senior Leadership team. This environment
is supported by the many corporate-governance initiatives in place
throughout the organization.
We expect our employees, contractors, and partners to be team-oriented,
take ownership, act with integrity, and value diversity. We strive
to do the right thing, not because we are required to do it, because
we want to do it.
We have made our basic corporate-governance documents public because
we want our stakeholders to understand how we strive to act in
all of our business actions. We strive to comply with both the
letter and spirit of applicable laws and regulations. An example
of this is our decision not to utilize the exemption available
to us from the NASDAQ listing requirements relating to Board of
Directors independence.
